Corporate Associate Attorney

Insero Talent Solutions is thrilled to partner with a dynamic and growing law firm in Rochester, NY, in search of a Corporate Associate Attorney.
This attorney will support a broad range of complex transactional matters, working closely with partners, clients, and cross-functional practice groups. The ideal candidate brings strong experience in mergers and acquisitions, corporate governance, and general corporate/transactional work, with the ability to manage sophisticated matters independently.
Responsibilities:
- Represent clients in mergers and acquisitions, corporate restructurings, and other transactional matters.
- Draft, review, and negotiate a wide range of business agreements, including purchase agreements, operating agreements, shareholder agreements, and other transactional documents.
- Advise clients on corporate governance, entity formation, organizational structuring, and ongoing compliance requirements.
- Partner with firm leadership, clients, and internal teams on complex and strategic legal matters.
- Conduct legal research and provide risk assessments, issue-spotting, and practical recommendations to clients.
Requirements :
- J.D. from an accredited law school and admission to practice in New York State.
- 4+ years of corporate law experience within a law firm environment.
- Demonstrated experience with M&A transactions, financial and securities offerings, corporate governance, compliance matters, and general business transactions.
- Ability to manage multiple deadlines, prioritize effectively, and thrive in a fast-paced, client-focused practice.
- Strong communication, drafting, negotiation, and interpersonal skills.
- Experience with private equity or venture capital transactions is a plus.
